As part of the scheme of management re-organisation within the Heinemann Group, Tom Rosenthal was appointed Managing Director of William Heinemann International Ltd, a Heinemann subsidiary which controlled all fiction and general companies including Martin Secker & Warburg Ltd. It was considered inappropriate for Tom Rosenthal to retain his holding in Martin Secker & Warburg Ltd and in 1980 he agreed to accept 160,000 Thomas Tilling Ltd ordinary shares in exchange. Papers relating to the sale of these shares are included.
In 1980, William Heinemann International Ltd was a directly owned subsidiary of the Heinemann Group and the Heinemann Secker Book Club was owned 75/25 per cent by William Heinemann and Martin Secker & Warburg Ltd.
The next step in the reorganisation was to transfer Heinemann Zsolnay, World's Work, William Heinemann and Martin Secker & Warburg Ltd from their current owners to William Heinemann International Ltd. A departmental letter from Thomas Tilling Ltd (30.8.79) explains the taxation implications for the transfer.
